Welcome to Kince. These Terms and Conditions (“Terms”) are a contract between you and Kince (“Kince,” “we,” “us,” or “our”) that governs your use of our website, mobile application, products, and services (collectively, the “Services”). We've written them to be readable — please take a moment to look them over.

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.

1. Who Can Use Kince

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Kince. By using the Services, you confirm that you meet this requirement and that you have the legal authority to agree to these Terms. If you're using the Services on behalf of an organization, you confirm you have authority to bind that organization.

2. Your Account

To use most features of the Services, you'll need an account. You agree to:

• Provide accurate, current, and complete information when you register.
• Keep your login credentials confidential.
• Notify us immediately if you suspect unauthorized use of your account.
• Take responsibility for activity that happens under your account.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

3. Acceptable Use

We want Kince to be safe and useful for everyone. You agree not to:

• Use the Services for any unlawful, fraudulent, harmful, or deceptive purpose.
• Attempt to access another user's account, or otherwise interfere with security features.
• Reverse engineer, decompile, or attempt to extract source code from the Services.
• Scrape, crawl, or use automated tools to access the Services without our permission.
• Upload viruses, malware, or any code designed to disrupt the Services.
• Use the Services to harass, abuse, defame, or harm others.
• Send unsolicited messages, spam, or unlawful communications through the Services.
• Resell, sublicense, or otherwise commercially exploit the Services without our written permission.

We may investigate and take appropriate action — including removing content, suspending accounts, and reporting to authorities — in response to violations.

4. SMS / Text Messaging Program

Kince offers an SMS messaging program. The Terms in this section apply if you opt in to receive text messages from us. These Terms are in addition to the SMS section of our Privacy Policy, which explains how we handle SMS-related data.

Opting in

By providing your mobile number and opting in — for example, by checking an SMS consent box on a Kince form, texting a keyword like JOIN to our toll-free number, or providing verbal consent on a recorded call — you agree to receive SMS or MMS messages from Kince at the number you provided. Consent to receive text messages is not a condition of purchase or of using our Services.

Message types

Depending on what you sign up for, messages may include account notifications, transaction or order updates, appointment reminders, two-factor authentication codes, customer support replies, and other service-related communications.

Message frequency

Message frequency varies based on your activity and the types of messages you opted in to receive.

Message and data rates

Message and data rates may apply, depending on your mobile carrier and plan. Kince does not charge for SMS messages, but your wireless carrier may.

Opt-out

You may opt out at any time by replying STOP to any message we send. You will receive one final confirmation that you've been unsubscribed, and we will not send you further SMS messages from that program unless you opt back in.

Carriers and delivery

Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, Verizon Wireless, T-Mobile, US Cellular, and most other major U.S. carriers.

Privacy of SMS information

Your mobile phone number, SMS opt-in data, and consent records are kept confidential and are not shared with any third party for marketing or promotional purposes. See our Privacy Policy for full details on how we handle this information.

5. Fees and Payment

Some parts of the Services may require payment. If you sign up for a paid plan or purchase, you agree to pay the fees listed at the time of your order. Fees are non-refundable except where required by law or where we specifically state otherwise. We may change our fees with reasonable advance notice; changes will apply to billing periods that begin after the notice.

6. Intellectual Property

Kince and its licensors own all rights in the Services, including the software, designs, logos, text, graphics, and other content (excluding User Content). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms.

Your content

You retain ownership of any content you submit to Kince (“User Content”). By submitting User Content, you grant Kince a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely as needed to provide and improve the Services. You're responsible for making sure your User Content doesn't violate anyone's rights or any applicable law.

7. Third-Party Services

The Services may integrate with or link to services provided by third parties. We're not responsible for those third-party services, and your use of them is governed by their own terms and privacy policies.

8. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Kince disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Kince and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Services. Our total liability for any claim related to the Services will not exceed the greater of (a) the amount you paid Kince in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions don't allow certain limitations of liability, so portions of this section may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kince and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party.

11. Termination

You can stop using Kince at any time by closing your account. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if continuing to provide the Services to you presents a risk to Kince or other users. Sections that by their nature should survive termination (such as Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

12. Changes to the Services and These Terms

We may change, suspend, or discontinue parts of the Services at any time. We may also update these Terms from time to time. When we make material changes, we'll let you know by email or by posting a notice in the Services before the changes take effect. Your continued use of the Services after a change means you accept the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and Kince consent to personal jurisdiction in those courts.

14. General

• Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Kince about the Services.
• Severability: If any part of these Terms is found unenforceable, the rest will remain in effect.
• No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: We may send you notices by email, by posting in the Services, or by other reasonable means.
